1. Acceptance of Terms

By accessing or using the Carrier Overpass platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including individual agents and organization administrators.

2. Description of Service

Carrier Overpass provides a web-based platform for insurance and transportation professionals to search, analyze, and manage commercial carrier data sourced from the Federal Motor Carrier Safety Administration (FMCSA), safety databases, and related public sources. Features include carrier search, PASS safety reports, CRM tools, email campaigns, and submission management.

3. Accounts and Access

You must create an account to access the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

Accounts are provided to individual users. Sharing login credentials with others is prohibited. Organizations may request additional user seats through their account administrator.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations
• Use carrier data for purposes unrelated to legitimate insurance, transportation, or compliance activities
• Attempt to scrape, export, or bulk-download data beyond normal platform use
• Reverse engineer, decompile, or attempt to derive source code from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Share, sell, or redistribute carrier data obtained through the Service to third parties not covered by your organization's account

5. Data and Intellectual Property

Carrier and safety data displayed through the Service is sourced from public government databases (FMCSA, SMS, etc.). Carrier Overpass does not claim ownership of this underlying data.

The platform, its design, features, aggregation logic, scoring models, and all associated software are the intellectual property of Carrier Overpass. You may not copy, reproduce, or create derivative works without prior written consent.

6. Data Accuracy

Carrier data is sourced from FMCSA and related government databases and is provided for informational purposes only. Carrier Overpass does not guarantee the accuracy, completeness, or timeliness of any carrier information. You are responsible for independently verifying data before making underwriting or business decisions.

7. Email and Communications Features

If you use the email campaign or outreach features, you are solely responsible for ensuring your communications comply with applicable laws including CAN-SPAM, TCPA, and any other applicable regulations. Carrier Overpass provides tooling only and is not responsible for the content of messages you send.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, Carrier Overpass shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid for the Service in the three months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may terminate your account at any time by contacting us.

11. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We will endeavor to notify users of material changes via email or a notice within the platform.

12. Governing Law

These Terms shall be governed by the laws of the United States and the state in which Carrier Overpass is incorporated, without regard to conflict of law provisions.
